1. Agreement and acceptance
These Terms of Service (“Terms”) form a binding agreement between you and JH Media Group, LLC, a Wyoming limited liability company (“Toado,” “we,” “us”) governing your access to and use of the Toado services (toado.dev, app.toado.dev, the Toado Chrome extension, the Toado MCP server, and related products, collectively the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 16 years old (or the age of digital consent in your jurisdiction, whichever is higher) and have the legal capacity to enter into a binding contract. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Account and credentials
You are responsible for keeping your account credentials confidential and for all activity under your account. Notify us immediately at contact@jhmediagroup.com if you suspect unauthorized access. We may suspend an account on reasonable belief of compromise pending verification.
4. Your content and license to us
You retain all rights to the captures, annotations, comments, and other content you upload or create in the Service (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Your Content solely as needed to operate, secure, and provide the Service to you. We will not use Your Content for training third-party machine-learning models, and we will not sell Your Content.
5. Acceptable use
You agree not to:
- Upload content you do not have the legal right to capture or distribute;
- Use the Service to harass, defame, threaten, or harm others, or to capture content of individuals without their consent where consent is required;
- Attempt to access the Service by any means other than its publicly documented interfaces, or to interfere with its operation, security, or rate limits;
- Use any automated tooling (scrapers, bots, headless browsers, scripts) against the Service other than our published, authenticated APIs and integrations, or attempt to bypass, disable, or work around our rate limits, quotas, or authentication;
- Reverse engineer, decompile, or attempt to derive source code from non-open-source components of the Service;
- Use the Service to capture content from third-party services in violation of those services’ terms;
- Resell, white-label, or sublicense the Service without our written consent.
6. Subscription, billing, and refunds
Paid subscriptions are billed in advance through Stripe at the rate disclosed on the pricing page. You authorize recurring charges until you cancel. You can cancel, change seats, or downgrade from your billing settings; changes take effect at the end of the current billing period unless otherwise noted. Annual subscriptions renew automatically unless canceled before the renewal date.
Refunds. We offer a 30-day no-questions refund on first-time paid subscriptions for an organization. The 30 days run from the first paid charge under the organization’s account; deleting and re-creating the same organization, or transferring it to another owner, does not restart the eligibility window. After the 30-day window, monthly subscriptions are non-refundable for the current period. Annual subscriptions may be refunded on a pro-rata basis for unused, full months at our discretion; partial months and the current month are non-refundable. Chargebacks and payment disputes: if you initiate a chargeback or other payment-network dispute without first contacting us, we may suspend the account and pursue any related fees and costs. Email contact@jhmediagroup.com first and we will resolve good-faith billing issues directly.
Prices may change. We will give at least 30 days’ notice before any price increase takes effect on your subscription, and you may cancel before the new pricing applies.
7. Service availability and changes
We work to keep the Service available, but we do not guarantee uninterrupted service unless covered by an enterprise SLA. We may modify, add, or discontinue features with reasonable notice; we will not materially reduce a paid plan’s included functionality during a billing period without offering a prorated refund.
8. Termination
You can close your account at any time from your settings. We may suspend or terminate accounts that breach these Terms, present a security risk, or fail to pay. On termination you may request a copy of Your Content within 30 days by emailing contact@jhmediagroup.com; after that window, we may delete it. We will retain anonymized aggregate data and any data we are legally required to keep.
9. Confidentiality
Captures, annotations, comments, and other content you upload may include information that is confidential to you, your employer, or third parties. We treat Your Content as confidential and will not access it except as necessary to operate, secure, debug, or improve the Service, to comply with law, or with your express permission. Each party agrees not to disclose the other party’s non-public business or technical information disclosed in connection with the Service to any third party except (a) to its personnel and contractors with a need to know who are bound by equivalent confidentiality obligations, or (b) as required by law (with prompt notice to the other party where lawful). This section does not modify a separately executed NDA between the parties.
10. Intellectual property and license grant
The Toado name, logos, marketing site copy, application UI, and all software (other than open-source components, which are governed by their own licenses) are the property of JH Media Group, LLC and protected by copyright, trademark, and other laws.
Subject to your compliance with these Terms and timely payment of applicable fees, JH Media Group, LLC grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your internal business purposes, only by your authorized users, and only during your active subscription term. All rights not expressly granted are reserved.
11. Open-source components
Toado uses open-source software components, each governed by its own license. Where any conflict arises between these Terms and an open-source component’s license, the open-source license controls for that component.
12. Warranties and disclaimers
The Service is provided “as is” and “as available” to the maximum extent permitted by law. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
13. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages (including lost profits, lost revenue, lost data, or business interruption) arising from or related to these Terms or the Service, even if advised of the possibility. Each party’s aggregate liability for direct damages is limited to the fees you paid us in the twelve (12) months preceding the event giving rise to the claim, or one hundred US dollars ($100), whichever is greater. Some jurisdictions do not allow these limitations; in those cases, our liability is limited to the maximum extent permitted.
14. Indemnification
You agree to defend, indemnify, and hold harmless JH Media Group, LLC and its officers, employees, and contractors from any claims, damages, or expenses (including reasonable attorney fees) arising from (a) Your Content, (b) your breach of these Terms, or (c) your violation of any law or third-party rights.
We will defend you against third-party claims that the Service, as provided by us and used in accordance with these Terms, infringes a US patent, copyright, or trademark, and pay damages finally awarded against you (or agreed in settlement) attributable to such a claim. This obligation does not apply to claims arising from: (i) Your Content; (ii) any modification of the Service not made or authorized by us; (iii) combinations of the Service with software, data, or services not provided by us where the claim would not have arisen but for the combination; (iv) your use of the Service after we have notified you to stop or made a non-infringing alternative available; (v) use of any beta, preview, or unsupported feature; (vi) use of the Service in violation of these Terms or applicable law; or (vii) any open-source component, which is governed by its own license.
15. Governing law, arbitration, and class waiver
Governing law. These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws principles. The UN Convention on Contracts for the International Sale of Goods does not apply.
Informal resolution. Before initiating arbitration, the parties agree to attempt in good faith to resolve any dispute by sending a written notice describing the dispute to contact@jhmediagroup.com and waiting at least 30 days for a response.
Binding arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally shall be settled exclusively by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with the seat and venue of arbitration in Atlanta, Georgia, USA. The arbitration will be conducted by a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.
Class action and jury waiver. Each party waives any right to participate in a class, collective, or representative action against the other, and waives any right to a jury trial. Disputes will be brought only in an individual capacity.
Injunctive relief carve-out. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property, confidential information, or to enforce payment obligations.
16. Force majeure
Neither party will be liable for delay or failure caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, government action, internet outages, or third-party service failures.
17. Severability
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
18. Entire agreement
These Terms, together with the Privacy Policy and any order forms or enterprise agreements signed between us, constitute the entire agreement between the parties regarding the Service and supersede all prior or contemporaneous communications.
19. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced via email and posted at the top of this page with an updated revision date at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance.
